1. Agreement to Terms
By accessing or using the CreatorPay platform ("Platform"), operated by CreatorPay ("Company," "we," "us," or "our"), you ("Seller," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
2. Eligibility — Business Entities Only
CreatorPay purchases receivables exclusively from duly formed business entities. We do not purchase receivables from individuals acting in their personal capacity. To use the Platform as a Seller, you must represent a legally organized business entity (e.g., LLC, corporation, sole proprietorship with a valid EIN, or equivalent entity under applicable law). By submitting a receivable, you represent and warrant that you are acting on behalf of a qualifying business entity and that the receivable is a business obligation — not a personal debt or consumer transaction.
3. Description of Service
CreatorPay operates a receivables purchasing platform. We buy approved invoices and receivables from eligible business entities via a true-sale transaction. CreatorPay is not a lender. The purchase of a receivable does not create a loan, line of credit, or any debtor–creditor relationship between you and CreatorPay.
4. Receivable Submissions
You may submit receivables for purchase through the Platform. Each submission is subject to our underwriting review and approval. We reserve the right to decline any receivable for any reason. Submission of a receivable does not guarantee its purchase.
5. Purchase Terms
Upon approval, the purchase of a receivable is governed by a Master Sale & Assignment Agreement ("MSAA") and a per-deal Bill of Sale executed between you and CreatorPay. Those agreements control in the event of any conflict with these Terms. Key commercial terms include:
- An upfront purchase fee (currently 3% of face value).
- A monthly rate (currently 1.5–2%) applied to the outstanding purchased amount for each month the receivable remains uncollected beyond the initial period.
- A reserve holdback (currently 10–20%) released upon full collection from the payor, less any accrued monthly fees.
Specific rates and reserves are set per deal and disclosed to you before execution.
6. Representations and Warranties
By submitting a receivable, you represent and warrant that:
- You are a duly organized and validly existing business entity.
- You have full authority to sell and assign the receivable.
- The receivable is genuine, undisputed, and not subject to any prior assignment, lien, or encumbrance.
- All deliverables underlying the receivable have been completed or are in progress with documented acceptance from the payor.
- All information provided to CreatorPay is accurate and complete.
7. Notice of Assignment
Upon purchase, CreatorPay will send a Notice of Assignment to the payor, directing payment to a designated lockbox account. You agree to cooperate with this process and not to redirect or interfere with payment of any purchased receivable.
8. Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@creatorpay.world if you suspect unauthorized access.
9. Intellectual Property
All content, branding, and technology on the Platform are owned by CreatorPay or its licensors. You may not reproduce, distribute, or create derivative works from any Platform content without prior written consent.
10. Limitation of Liability
To the fullest extent permitted by law, CreatorPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any receivable transaction. Our total liability shall not exceed the fees actually received by CreatorPay in connection with the specific transaction giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless CreatorPay, its officers, directors, employees, and agents from any claims, damages, or expenses arising from (a) your breach of these Terms, (b) any misrepresentation regarding a submitted receivable, or (c) your violation of any applicable law.
12. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, upon notice. Termination does not affect the terms of any previously executed MSAA or Bill of Sale, which survive termination.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
14. Modifications
We may update these Terms at any time. Material changes will be communicated via the Platform or email. Continued use after changes constitutes acceptance.
